By engaging Fillicore Technologies Private Limited ("Fillicore," "we," "us," or "our") for any web development, design, mobile app, or digital consulting service, you ("Client," "you") agree to be bound by these Terms and Conditions.
These terms apply to all service agreements, project proposals, invoices, and digital communications between Fillicore and its clients. If you do not agree to these terms, you must not engage our services.
Fillicore Technologies provides, but is not limited to, the following professional services:
The specific scope of services for each engagement will be defined in a separate project proposal, statement of work (SOW), or service agreement signed by both parties.
Discovery & Kickoff: All projects begin with a discovery phase to define scope, deliverables, timeline, and milestones. No production work begins until a formal agreement and initial payment are received.
Client Responsibilities: The client agrees to:
Scope Changes: Any changes to the agreed scope must be submitted in writing. Scope additions will be quoted separately and may affect the project timeline. Fillicore reserves the right to adjust timelines to accommodate revised scopes.
Delays: If client-caused delays extend a project beyond 30 days from the last active communication, Fillicore may issue an idle fee or reschedule the project subject to team availability.
Payment Schedule: Unless specified otherwise in the project agreement, the standard payment structure is:
Invoicing: Invoices are issued in Indian Rupees (INR). All applicable taxes (including GST) will be applied as required by Indian law.
Late Payments: Payments not received within 7 days of invoice due date may incur a late fee of 2% per month on the outstanding balance. Fillicore reserves the right to pause active work until payment is received.
Refunds: Work completed and approved at each milestone is non-refundable. The initial deposit is non-refundable if the client cancels the project after the discovery phase has been completed.
Final Deliverables: All final files, source code, and assets will only be transferred after full payment has been received and cleared.
Client Ownership: Upon receipt of full payment, the client receives full ownership of all custom-developed code, designs, and content specifically created for their project.
Fillicore Ownership: Fillicore retains ownership of:
Third-Party Licenses: Projects may incorporate open-source libraries, stock assets, or third-party APIs, each governed by their respective licenses. The client is responsible for ensuring continued compliance with these licenses after project handover.
Portfolio Usage: Fillicore reserves the right to feature completed projects in its portfolio, case studies, and marketing materials unless the client explicitly requests confidentiality in writing prior to project completion.
Both parties agree to keep confidential any non-public business information, technical data, or trade secrets shared during the project engagement. This obligation survives the end of the project for a period of three (3) years.
Confidential information does not include information that:
Fillicore will not sell, share, or disclose your business information to third parties without your express written consent.
Our Warranty: Fillicore warrants that all deliverables will be produced with professional skill, conform to the agreed specifications, and be free of known defects at the time of delivery. We provide a 30-day post-launch support period to address bugs arising from our implementation.
Exclusions: Our warranty does not cover:
Limitation of Liability: Fillicore's total liability for any claim arising from a project shall not exceed the total fees paid by the client for that specific project. We shall not be liable for indirect, incidental, consequential, or special damages, including loss of revenue, data, or business opportunity.
By Client: The client may terminate a project by providing 14 days' written notice. All work completed up to the termination date will be invoiced based on time and materials expended. The initial deposit is non-refundable.
By Fillicore: Fillicore may terminate an engagement if:
Upon termination, all previously paid and delivered work remains the property of the paying party in proportion to payment received.
